Welcome to the User Agreement for ArenAsia. This agreement describes the terms on which you may access and use our services. Before joining ArenAsia as a member, please read our User Agreement. We reserve the right, at our sole discretion, to change, modify, add, or delete portions of this User Agreement at any time without further notice. Your continued use of the service or the site after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future User Agreements, do not use or access (or continue to use or access) the service or the site. It is your responsibility to regularly check the site to determine if there have been changes to the User Agreement and to review such changes.

Membership Eligibility

ArenAsia is not available to minors under the age of 18 or to any users suspended or removed from the system by ArenAsia for any reason. Users may not have more than one active account. Additionally, users are prohibited from selling, trading, or otherwise transferring your ArenAsia account to another party. If you do not qualify, you may not use ArenAsia.

Use of Service

ArenAsia provides you the service to network with others online. In order to use ArenAsia you must register as a member and agree to the terms of this User Agreement and all legally binding terms for your membership. You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated. You understand and agree that we have no obligation to prescreen, manage, or edit content made available through the service. You agree to bear all risk associated with content you or others provide using your account. You agree to immediately notify ArenAsia of any unauthorized use of your password or account or any other breach of security. ArenAsia cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

User Conduct

You understand that all information, data, text, software, sound, photographs, graphics, video, messages or other content whether publicly posted or privately transmitted, are the sole responsibility of the person from which such content originated. This means that you, and not ArenAsia, are entirely responsible for all content that you upload, make available, post, email or otherwise transmit via the site. ArenAsia does not control the content posted via the site and, as such, does not guarantee the accuracy, integrity or quality of such content. You understand that by using this service, you may be exposed to content that is offensive, indecent or objectionable. Under no circumstances will ArenAsia be liable in any way for any content, including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed or otherwise transmitted via the site.


We reserve the right to monitor registration of participants that we feel is harmful to other users, and remove content or profiles of such participation at our discretion.


Furthermore you agree not to use ArenAsia to:

• Post content or initiate communications which are unlawful, libelous, abusive, obscene, discriminatory, or otherwise objectionable.
• Harm or threaten minors in any way.
• Falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present.
• Use the Communication Service in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative messages (commercial or otherwise).
• Forge headers or otherwise manipulate identifiers including copyright management information in order to disguise the origin of any Content transmitted through the Service.
• Upload, make available, post, email or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual agreement or relationship
• Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
• Intentionally or unintentionally violate any applicable local, state, national or international law
• Stalk or otherwise harass another user
• Use the site for any form of multilevel marketing (MLM)

Termination

You agree that ArenAsia may, with or without cause, immediately terminate your ArenAsia account and access to the ArenAsia service without prior notice. Without limiting the foregoing, the following will lead to a termination by ArenAsia of a user’s use of the ArenAsia service (a) breaches or violations of this User Agreement or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) unexpected technical issues or problems, and (e) extended periods of inactivity. Termination of your ArenAsia account includes removal of access to all offerings within the ArenAsia service and may also bar you from further use of the ArenAsia service. Furthermore, you agree that all terminations shall be made in ArenAsia’s sole discretion and that ArenAsia shall not be liable to you nor any third-party for any termination of your account or access to the ArenAsia service.

Cancellation of Membership

Users may terminate the Free Membership at any time without cause. The User may deliver notice of termination using the contact link at any time. The termination notice shall include the User’s registered user name and the email address that was used to register.

Fees

Signing up for a basic ArenAsia account is free. Certain other services are provided for free only to beta users. ArenAsia reserves the right to charge for the ArenAsia service or any portion thereof, modify the pricing of, add to, or discontinue the ArenAsia service or any portion thereof without prior notice.

Information Provided on this Website

In the course of using the ArenAsia Service, users may provide information about themselves which may be visible to certain other users (see our Privacy Policy to learn more about information collected on this website). You understand that by posting materials on the ArenAsia website or otherwise providing materials to ArenAsia, you are granting to ArenAsia a royalty-free, perpetual, irrevocable license to use this information in the course of offering the ArenAsia service. Furthermore, you understand that ArenAsia retains the right to reformat, excerpt, or translate any materials submitted by you. You understand that all information publicly posted or privately transmitted through the ArenAsia Service is the sole responsibility of the person from which such content originated and that ArenAsia will not be liable for any errors or omissions in any content. You understand that ArenAsia cannot guarantee the identity of any other users with whom you may interact in the course of using the ArenAsia service. Additionally, we cannot guarantee the authenticity of any data which users may provide about themselves or relationships they may describe.

Email Communication

In the course of providing you services, ArenAsia may need to communicate with you via email. You agree to receive emails which are specific to your account and necessary for the normal functioning of the ArenAsia service, including welcoming emails which help inform new users about various features of the ArenAsia service. You also agree to have your name and/or email address listed in the header of certain communications which you initiate through the ArenAsia service.

Intellectual Property Rights

ArenAsia is the sole owner or lawful licensee of all the rights to the site and the ArenAsia content. The site and ArenAsia content embody trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the site and ArenAsia content shall remain with ArenAsia, its affiliates or licensors of the ArenAsia content, as the case may be. All rights not otherwise claimed under this agreement or by ArenAsia are hereby reserved.
ArenAsia, ArenAsia.com and related icons and logos are registered trademarks or trademarks or service marks of ArenAsia in various jurisdictions and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

Indemnity

You agree to indemnify and hold ArenAsia, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you make available, submit, post to or transmit through the Service, your use of the Service, your connection to the Service, your violation of the User Agreement, or your violation of any rights of another.

Disclaimer of Warranties

YOU UNDERSTAND AND AGREE THAT THE ARENASIA SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THAT ARENASIA DOES NOT ASSUME ANY RESPONSIBILITY FOR PROMPT OR PROPER DELIVERY, OR RETENTION OF ANY USER INFORMATION OR COMMUNICATIONS BETWEEN USERS. ARENASIA ASSUMES NO RESPONSIBILITY FOR THE ACCURACY OR EXISTENCE OF ANY COMMUNICATIONS BETWEEN USERS. ARENASIA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE ARENASIA SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM ARENASIA OR THROUGH OR FROM THE ARENASIA SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS USER AGREEMENT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT ARENASIA SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ARENASIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

Violations
